Terms of Service

Effective 2026-10-16

These terms govern your use of the financial modelling service operated by Thecel (“we”, “us”). By creating an account or using the Service, you agree to them. If you do not agree, do not use the Service.

1. What the Service is

The Service lets you build a three-statement financial model and a discounted-cash-flow valuation for a company, and export the result as an Excel workbook and a slide deck. It includes optional features that use third-party artificial-intelligence models to suggest classifications and forecast assumptions, and optional live market data for listed companies.

The Service is a tool. It performs the arithmetic you ask it to perform on the numbers and assumptions you supply. The numbers, the assumptions, and the conclusions drawn from them are yours.

2. Not investment, legal, tax or accounting advice

Nothing produced by the Service (a valuation, a price per share, a scenario, a sensitivity table, a slide that says “buy”, “hold”, “sell”, “proceed”, “negotiate” or “walk away”, or any recommendation) is investment advice, an offer, a solicitation, or a recommendation to enter into any transaction. Every such output is computed from assumptions you chose and is attributed to you in the exported files for that reason.

We are not a broker-dealer, investment adviser, accountant, auditor or law firm, and we are not registered with any financial regulator. You are responsible for any decision you make using the Service, and for obtaining professional advice where you need it.

AI-generated suggestions are produced by a third-party model and can be wrong, incomplete, or confidently mistaken. They are offered as starting points for your judgement and never as conclusions.

3. Your account

You must be at least 18 years old to create an account. You are responsible for keeping your credentials confidential and for everything done under your account.

Authentication is provided by Supabase. We may suspend or close an account that breaches these terms, that is used to attack the Service or its providers, or that has been inactive for an extended period, with notice where practicable.

4. Your models and your data

Your financial models are stored in your own web browser, on your own device, and not on our servers. We do not have a copy. If you clear your browser storage, use a different browser or device, or lose the device, the models are gone and we cannot recover them. Export what you want to keep.

When you use an export or an AI feature, the model is sent to our servers for that request, processed, and discarded when the response is returned. The Privacy Policy describes this in detail, including which third parties receive it.

You retain all rights in the data you enter and the files you export. You grant us only the limited right to process that data to provide the Service to you.

5. Acceptable use

You may not use the Service to do anything unlawful, to infringe anyone's rights, to attempt to gain unauthorised access to the Service or its infrastructure, to circumvent authentication or rate limits, to resell access, or to run automated traffic against it. We apply per-account rate limits to protect the Service and its third-party providers, and requests beyond them are refused.

6. Third-party services

The Service depends on third parties: Vercel for hosting, Supabase for authentication, OpenAI or Anthropic for AI features, and Finnhub, or Yahoo Finance when no Finnhub key is configured for market data. Their availability, accuracy and terms are outside our control. Market data is provided as-is, with the provider and timestamp shown beside it, and may be delayed, incomplete or wrong.

7. Fees

The Service is currently offered without charge. We may introduce paid tiers, change what is free, or discontinue features. We will give reasonable notice of any charge before it applies to you, and nothing you have already exported will be affected.

8. Our intellectual property

The Service, its software, design, and documentation are owned by Thecel or its licensors. These terms do not transfer any of it to you. Exported workbooks and decks are yours. The templates, engines and formulas that produced them are not.

9. No warranty

The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output is correct. Financial models contain assumptions. A model that computes correctly can still be wrong about the world.

10. Limitation of liability

To the fullest extent permitted by law, Thecel will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to the Service, however caused, even if advised of the possibility. Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars (US$100).

Some jurisdictions do not allow certain limitations. In those jurisdictions our liability is limited to the extent permitted. Nothing in these terms limits liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify Thecel against claims arising from your use of the Service in breach of these terms, from the data you enter, or from decisions you or others make in reliance on outputs of the Service.

12. Changes to the Service and to these terms

We may change the Service at any time. We may change these terms. When we do, we will update the effective date at the top of this page and, for material changes, notify account holders by email or in the Service. Continued use after a change means you accept it.

13. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law rules. Any dispute will be brought in the state and federal courts located in Massachusetts, and you consent to their jurisdiction. If you are a consumer in a jurisdiction whose law gives you rights that cannot be waived by contract, including Brazil, those rights are not affected.
